1-Definitions

For the purposes of these terms and conditions

· Socialect: means the company which is providing this service including our corporate parent, affiliates or subsidiaries. Also referred to as “the company”, “We”, “Us” and “Our”.

· Platform means any website, application, or service offered by Socialect including content we offer and electronic communications we send. It means the software program provided by the Company downloaded by You on any electronic device. Also referred to as “application”.

· Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.

· Affiliate means an entity that controls, is controlled by or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

· Account means a unique account created for You to access our Service or parts of our Service.

· Country refers to: “United Arab Emirates” also referred to as “UAE”

· Content refers to content such as text, images, stories, videos or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.

· Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.

· Feedback means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.

· Terms and Conditions (also referred as “Terms” or “Terms of Service”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

· You or Your referred to the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable. It can be applicable for corporate users, individual users or both.

· Member means any individual that have created an account on the application and using Socialect services also referred as “User”

· Organizer means any User/member who is able to create events on the Application.

- Corporate Users: means business entities owners who has created an account on Socialect’s Platform Also referred to as “Corporates”

· Business Entities: means any business with valid trade license, can be as restaurant, café, night club, Gym, Pools, Hotels, Fishing Companies, Banks, commercial and corporate companies, universities, activity places, etc…

· Socialect Members: means all users of the application including Corporates and individual users. Also referred to as “Socialect Users”

· Event: is an activity that gets created over the platform by either an organizer or corporate users in which they can specify in the description the content of the event whether it is an activity of any sort or promotional event targets the members on the platform/application to join. Events can be in different forms Public or Private Events. Also referred to as “Socialect Event”

· Bullying: is the intentional posting of mean content for the purpose of hurting or embarrassing another.

· Harassment is persistent or non-consensual contact from another member.

· Group: means the Group Created over the platform/application by Corporate Users only in which they can post their events on it and share their newest upcoming promotional event/activity with Individual users who can join this Group and attend their events and share discussions.

2-Our Services:

Welcome to Socialect!!

our services provide Users:

The chance to meet one another, Share Interests and get to know their local areas by exploring nearby users with mutual interest on the Platform’s Map.

Join and create events based on their interests and plan their weekend ahead. Users can easily plan their free time by saving events to join or by exploring the map for the events within and outside their community. As Well As Joining Trending Events based on most common activities done over the app

Create New Hobbies, New interests and visiting new locations through meeting other users over events created through the platform as well as connecting and chatting with them over the app.

direct contact with corporates/ business entities they admire and join their group, share activities with them as well as be updated with their latest news and events. This Feature will be coming soon to the app.

Review and rate places as well as check the reviews of other places they need to go to. This Feature will be coming soon to the app.

Share and post their reels and photos on their profile page to share their experience with others as well as they can see their connection upcoming events, interests on their profile page.

In summary Socialect is an Application that provides full social experience for the users and break the ice between real life events and digital interface.

2.1 Your relationship with Socialect:

Our Terms and conditions do not directly create an agreement between different members. Our Terms and condition are a contract between Socialect and each individual member. You should read the complete Terms and conditions because that document (and not this overview) is our legally binding agreement. We provide our Platform to you subject to these Terms of Service. Your use of the Platform signifies that you agree to this Agreement. If you are using the Platform for an organization, you agree to this Agreement on behalf of that organization, and represent you have authority to bind that organization to the terms contained in this Agreement. If you do not or are unable to agree to this Agreement, do not use our Platform. If you break the rules, we may suspend or terminate your account.

We charge for certain aspects of our Platform, and some of these fees are billed on a regular and recurring basis (unless you disable auto-renewal or cancel your subscription). Subscription Feature Coming Soon.

2.2 Organizers, Members Relation:

Temporarily Groups in socialect are run by Organizers and these groups are based on a specific event. While there is probably a socialect event out there for everyone, not every Socialect event is for you. If you feel you are not in the right group, you can easily exit the event. Organizers may charge fees for memberships or events. Using our Platform involves meeting real people and doing real things in the real world, which can sometimes lead to unexpected situations. We can’t control what happens in the real world, and we are not responsible for it. You should use common sense and good judgment when interacting with others.

3- Policies

3.1 Your Content and Content of Others (Content Policy):

You are responsible for your “Content”, which means any information, material, or other content posted to our Platform. Your Content must comply with our Terms of Service, which includes:

· Be real: Socialect profiles are intended to represent real people in a local area. Socialect members profiles must be honest and authentic. Creating fake accounts, malicious accounts, or accounts meant to impersonate another person or another business, is prohibited on Socialect.

· Be honest: intentions, affiliations, transparency, feedback and ratings: All members should be open about who they are, their intentions, and their affiliations. All groups and events descriptions should be accurate, so members can make informed decisions about their participation. Event feedback and ratings are important indicators of a member's experience at a Socialect event and are meant to offer relevant and valuable insights into an attendee's experience. All members should leave ratings or feedback that accurately reflects their experience at a Socialect event. For example, it is a violation of our policies to leave a negative event rating solely to harm the ratings for someone you dislike.

· Be respectful: Respecting people's time, attention, personal choices, and personal boundaries is essential to creating safe and trusting relationship between users. Be respectful in interactions with people and in content posted on the platform. Socialect monitors and restricts behaviours that are dishonest, undermine the integrity of the platform, violate personal boundaries, or serve to intentionally upset people.

· Respect block decisions: If you are blocked, you’re blocked. Members must accept and respect any organizer’s decision to ban a member from a group, or a member's decision to block another member from contacting them on Socialect. In addition, Organizers must respect any members decision to block them. Socialect users must also respect any decision from Socialect to suspend or terminate their account due to a policy violation or to delete any Content Posted, event and Group Created due to a policy violation. Creating new accounts to avoid a block or ban decision from an organizer, a member, or Socialect is prohibited. Additionally, you are not permitted to post content or promote events on behalf of a member that has been banned or blocked from using Socialect.

· Don’t Post or message Violent content: Gratuitously graphic, disgusting, obscene, or violent content is prohibited. We don't allow content posted, shared or messaged to upset, shock, or disturb a Socialect member. Bullying, harassment, exploitation, and acts of hate undermine community building in safe spaces where people can trust one another. Socialect enforces against behaviours that are threatening, intentionally malicious, or personally harmful--physically, emotionally, or mentally. Harassment and bullying are not allowed on Socialect. Socialect will honour requests to remove content that publicly shames or degrades a private individual. Members should first contact the uploader or the organizer to request that content be removed. Socialect will honour requests to remove nude, lewd or shaming photos if the subject of that content reports it. Content targeting a public figure, organization, or anyone who has gained news attention, is not subject to these policies. Any attempt to use someone's insecurities or vulnerabilities for personal gain is considered manipulation or exploitation and is prohibited. Hate speech, supremacy, or behaviour that incites hate or violence against individuals or groups of people based on who they are or their beliefs, is prohibited. Using Socialect to promote, facilitate, or organize violent, criminal, or non-consensual actions that endanger anyone, physically, mentally, or emotionally, is prohibited. Socialect reserves the right to remove credible explicit and implicit threats of violence or aggression and revoke the membership of the user who made them. Socialect does not allow any content that encourages self-injury or encourages others to harm themselves.

· Don’t Post or message Sexual and Content Nudity

Pornography is not allowed on Socialect. Publicly shared photos must be appropriate for general audiences. Nude or sexual photos are not allowed to be shared or Posted. Socialect prohibits groups, or individuals who, use Socialect to proposition for sex, or to promote or engage in prostitution. Socialect has a zero-tolerance policy regarding nudity of any kind, pornography, or anything Socialect believes exploits, sexualizes, or fetishizes minors. Such content will be removed from the platform and the uploader will be banned. Socialect reports all pornography content.

· Don’t post other people’s private information: Posting private information of other members without their explicit consent is prohibited. Socialect Members should always be mindful of privacy and use discretion when sharing any private content that belongs to themselves or to other members. For example, phone numbers, Emirates ID, addresses, financial information, passwords, and any government identification are considered private information.

· Don’t Post illegal Content: this platform is operating in United Arab Emirates; all Socialect Members must adhere United Arab Emirates laws and regulations and must not post any content that is unlawful or against the laws of United Arab Emirates. Any Account that Post, Share or message unlawful content on Socialect shall be banned from using the application. Socialect has the right to report any account to authorities for failing to comply with this specific terms and condition.

3.2 Events Policy:

Below is the list of conditions which Socialect Members must comply with when it comes to creating an event.

1- Converting or changing events Description, timing or fees so that they no longer align with the expectations and purpose set by the organizer is misleading and not allowed. The intentions of the event should remain consistent with member expectations as set in the event description. in order to change the focus of the event, to close the event, to send or post promotional content, or to send or post content not aligned with the original description of the event, is prohibited. If it is your intention to change the meaning or purpose of a event, we advise that you start a new event instead or discuss with current event members your intentions to change the description of the event, apply new rules or fees, change timings, etc… If an event gets a new organizer, the mission of that event should stay the same.

2- It is not allowed for an organizer for not attending or completing events. In case of chargeable Event Cancellation or non-completion the Organizer must communicate with confirmed attendees and reschedule the event or a refund. Members may report this case to Socialect where we will warn the organizer of this violation and if repeated the account will be suspended and organizer will be charged a fee with the event total amount after an investigation is completed. Socialect is not responsible for any payments done to organizers and corporates, Socialect doesn’t issue any refunds to members regarding organizers payments to groups and events.

3- Violent/dangerous/ criminal behaviour: Events must not contain content or promote events that could promote or facilitate illegal or violent activity, such as:

· Buying, selling, or trading firearms, ammunition, or drugs

· Pyramid schemes

· Acts of physical harm against other people

· Animal abuse

· Acts of vandalism

4- Events must not contain content or promote events that could threaten public or personal safety, including:

· Advocating for, inciting, or making aspirational statements or threats to commit violence against any group of people, individual person, or specific location

· Weapons and explosive-making

· Militia gatherings or any calls for violence in response to private or public events

· Exposure of an individual’s personal information

· Promotion or glorification of self-harm (for example, suicide, eating disorders or substance abuse)

5- Events must not contain content or promote events that incite hate, violence, or harassment against individuals or groups of people based on personal attributes such as race, colour, religion, descent, national or ethnic origin, sexual orientation, gender, gender identity, age, disability, or a medical or genetic condition.

6- Events must not advance conspiracy theories that promote hatred or violence against individuals or groups based on any of the above personal attributes. Conspiracy theories that diminish or deny the documented suffering of a group of people are not permitted.

7- Events must not contain content or promote events that organize, promote, provide for, distribute services for, or recruit for terrorist organizations.

8- Events must not contain content or promote events which are illegal in United Arab Emirates. Their Account will be suspended automatically and will be reported to legal authorities

9- Events must not contain content or promote events that promote or facilitate sex trafficking, prostitution, or any other type of sexual exploitation. Groups and events must not contain pornography or publicly shared nude or sexual photos. Their account will be suspended immediately and will be reported to legal authorities.

3.3 Payment Policy:

Prohibited payments:

· Adult content, escort services, or sex solicitation

· Drugs, alcohol, tobacco, drug paraphernalia, or similar items

· Gambling or betting

· Weapons, ammunition, or weaponry accessories

· Multi-level marketing businesses, pyramid or Ponzi schemes

· Unlawful activities or items, or the promotion of unlawful activities or items related to United Arab Emirates.

Fees charged by Organizers: Organizers may impose fees related to particular portions of the Platform, such as fee for joining an event on Socialect. In general, organizers set their own policies for member dues and event fees, including when a member is eligible for a refund. Payment from members to Organizers does not happen on our Platform hence we have no control on it. If you feel you are eligible for a refund and the organizer ignored it, you can report the organizer to us explaining why you are eligible for a refund and our team will do their best to claim your right if you deserve it. but Socialect is not responsible for any payments done to organizers. Socialect doesn’t issue any refunds to members regarding organizers payments to groups and events. Socialect do not interfere with any of the payments done to organizers and corporates but might assist you in some sever cases by emailing us the reason at socialectsupport@socialect.net

Fees charged by Socialect: Use of some of the features on our Platform is free. Subscription Package Fees, Terms and Conditions will be implemented in the future.

Third Party Payment Processors. An organizer that uses the Platform to accept payments from other members must comply with the terms and conditions of the third-party provider of the applicable payment service used to receive the payment. Socialect does not provide those payment services, is not a party to your agreement with the applicable third-party provider and will not be liable or responsible for your use of those third-party payment services.

3.4 Termination and Account Suspension Policy

Suspension of your account:

We may modify, suspend, or terminate your account or access to the Platform if, in our sole discretion, we determine that you have violated this Agreement, including any of the policies or guidelines that are part of this Agreement, that it is in the best interest of the Socialect community, or to protect our brand or Platform. When this happens, we will notify you of the reasons for the modification, suspension, or termination. We also may remove accounts of members who are inactive for an extended period of time. Please email socialectsupport@socialect.net if you believe the modification, suspension, or termination has occurred in error.

Termination

We may terminate the Socialect API at any time for any reason. We may modify, suspend, or terminate your access to the Socialect API if we determine in our sole discretion that your use of the Socialect API undermines our commercial interests or violate any provision of these API License Terms or for any other reason. You may terminate this API License by discontinuing your use of the Socialect API. If we provide you with any Socialect API information or documentation that is not generally available, you agree that those materials are confidential information that you must destroy following termination of the API License.

3.5 Account information and security Policy:

When you register, you provide us with some basic information, including an email address and a password. Keep your email address and other account information current and accurate. Also, you agree to maintain the security and confidentiality of your password (or else we may need to disable your account). We strongly encourage you to choose a strong and unique password that is not shared with any other account or online service and practice other healthy password security habits to help avoid unauthorized access to your account. You alone are responsible for anything that happens from your failure to maintain that security and confidentiality, such as by sharing your account credentials with others. If someone is using your password or accessing your account without your permission, email us at socialectsupport@socialect.net

Subject to your compliance with this Agreement, Socialect grants you a limited, non-exclusive, revocable, non-sublicensable, non-transferable right to use the Platform in order to access and use the services and features that we make available to you.

We process information about you to provide our services in accordance with our Terms and conditions, for example, to allow you to join groups or to display your profile to other members; or display your location on the map when choosing to present it, to allow us to send you important service updates; and to perform a contract.

We also process information about you where it is in our legitimate interests to do so and not overridden by your rights (for example, in some cases for direct marketing, fraud prevention, network and information systems security, responding to your communications, the operation of networks of groups by the network administrators, and improving our Platform).

We are free to use any photos, comments, information, ideas, concepts, reviews, or techniques or any other content in any communication you may upload through the app or send to us without further compensation, acknowledgement or payment to you for any purpose whatsoever. In addition, you agree not to enforce waive any “moral rights” in and to the content, to the extent permitted by applicable law.

In some cases, we may also have a legal obligation to process information about you, or may otherwise need the information to protect your vital interests or those of another person. For example, we may process information, if we believe doing so is required by, or in accordance with, applicable law, regulation, legal process, or audits.

4- You Agree To:

When You Use our Platform, you are Agreeing to:

Follow the rules of United Arab Emirates and this Terms and conditions and not use the App in any unlawful manner or any manner inconsistent with these terms and conditions. As well as you agree that this document is a legally binding agreement between you and socialect.
·Comply with all applicable laws, rules, and regulations, and to not violate or infringe the rights of any third party
·Comply with the terms of service that apply to third party services used on our platform such as Google Maps, Apple Store and Google Store.
· You will not, either directly or indirectly use, host, store, reproduce, modify, publish, publicly display, publicly perform, distribute, or create derivative works of the Platform, or any portion of the Platform
· You will not remove or alter the proprietary notices on the Platform/App. As well as you agree Not translate, merge, adapt, vary, alter or modify, the whole or any part of the app, nor permit the app or any part of it to be combined with, or become incorporated in, any other programs, except as necessary to use the app on devices as permitted in these terms.
· You will not reverse engineer, disassemble, decompile, or attempt to discover the source code or structure, sequence, and organization of the Platform. In other words Not disassemble, de-compile, reverse engineer or create derivative works based on the whole or any part of the app nor attempt to do any such things.
·You will not, either directly or indirectly extract data from the Platform for a commercial purpose not permitted by these Terms of Service, whether through use of an automated system or software, and whether operated by a third party or otherwise (“screen scraping,” “data scraping,” or “web scraping”)
·You will not engage in any activity that is designed to interfere with or disrupt, or imposes undue burdens on the Platform or its systems.
Without limitation You provide notice to members about your processing of their personal data, to obtain any necessary consents, and to respond to requests made by members as required by applicable law. You also agree to safeguard such data from unauthorized access or processing. You must delete such personal data once it is no longer strictly necessary for the administration of a Socialect group or Socialect event and you will promptly certify to such deletion
To the full extent permitted by applicable law, you agree that in no event shall any Socialect Parties be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses.
·You grant us the right to use your company name, logo, and trademark for the purpose of publicizing your use of the Socialect API. You also agree to allow us to use the content created and shared by you. You will retain ownership of the intellectual property rights for the content you create. However, by uploading or sharing content on Socialect, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content. You agree not to rent, lease, sub-license, loan, provide, or otherwise make the app available, in whole or in part, to any person without our prior written consent.
You agree Not to transmit or upload any material that is defamatory, offensive or otherwise objectionable including, without limitation material that is bullying, unlawful, discriminatory, harmful or inappropriate
·You agree to obtain our written consent before publishing or using Socialect’s name, logo, or trademark.
·You authorize us to monitor or audit your use of the Socialect API in order to verify your compliance with these API License Terms and to operate, improve, and protect the Platform. You agree to comply with any requests we make while monitoring or auditing your use of the Socialect API.
·You agree that you have read our Terms and Condition and agreed on it.
· Your use of the Socialect API signifies that you agree to these API License Terms. If you are using the Socialect API for an organization, you agree to these API License Terms on behalf of that organization, and represent you have authority to bind that organization to the terms contained in these API License Terms.
· You agree that you will be reviewed and rated by members of the platform.
· You agree that you take full responsibility if you choose to keep your location available to the public.
· You agree as a member that you are 18 Years old or over.
· You agree as a member that you have provided accurate information about yourself, create only one account (your own) and not share your password or give access to your account to others.
· You agree as member Not to impersonate any other person, use virtual private networks, false e-mail addresses or any other means to mask your identity
· You agree that you as individual will not use the app if you were a convicted sex offender.
· You agree Not to use the app or attempt to reactivate the account if we have disabled your account due to violations of our policies.
· You agree that you may not transfer the app to someone else, whether for money, for anything else or for free. If you sell any device on which the app is installed, you must remove the app from it
· You agree that You have no intellectual property rights in, or to, the app other than the right to use them in accordance with these terms
· By using our Platform, you agree to the limitations of liability and release in our Terms of Service. You also agree to resolve any disputes you may have with us in the manner described in the Terms of Service.===============================================================================================================================================================

5- Important Note:

We are not responsible for Content that members post or the communications that members send using our Platform. We generally don’t review Content before it’s posted. If you see Content that violates our Terms and conditions, you may report it to us. Also we are not responsible for Accounts that are created over the platform as we generally don’t review or run a security check on members prior joining hence if you see any Socialect Member profile violating our terms and condition or United Arab Emirates Law you are advised to report it to us to take the appropriate action. You can contact socialectsupport@socialect.net. Socialect does not control the Content of other members. When we become aware of inappropriate Content on our Platform, we reserve the right to investigate and take appropriate action, but we do not have any obligation to monitor, nor do we take responsibility for, the Content of other members.

Scoialect Has the right to delete any content, Group or Event that Violates the terms and condition without the need to discuss it with it’s publisher.

Socialect Has the right to suspend any Socialect member account for violating the terms and conditions of this agreement without the need to discuss it with the user. however when an account is suspened the User will be Notified with the Suspenstion.

We try hard to make sure that our Platform is always available and working, but we cannot guarantee it will be. Occasionally things may not go exactly as planned. We apologize in advance for any inconvenience.

Platform Modifications: We are continually improving our Platform. This means that we may modify or discontinue portions of our Platform with or without notice and without liability to you or any third party.

Analysis Section:

The analysis, insights, and data provided through the application are for informational purposes only and are not intended to serve as professional advice or absolute representations of fact. While we make reasonable efforts to ensure the accuracy, completeness, and timeliness of the information, we do not warrant or guarantee that the analysis data will always be reliable, error-free, or up to date.

By using the analysis features, you acknowledge and agree that any reliance on the provided data is at your own risk. To the maximum extent permitted by law, we disclaim all liability for any loss, damage, or adverse consequences resulting directly or indirectly from the use of, or reliance on, the analysis data.

Notwithstanding the above, we remain committed to maintaining a high standard of service and continuously improving the accuracy and reliability of the information we provide.

Socialect is not a party to any offline arrangements made through our Platform. Socialect does not conduct or require background checks on members and does not attempt to verify the truth or accuracy of statements made by members. Socialect makes no representations or warranties concerning the conduct or Content of any members or their interactions with you.

No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship between you and Socialect is intended or created by this Agreement. A member of the Socialect Platform is not Socialect's representative or agent and may not enter into an agreement on Socialect’s behalf.

This Agreement and the relationship between you and Socialect shall be governed by the laws of the United Arab Emirates.

Maps: on the platform a members/ Organizers have two choices to present themself on the map 1st option is public where all socialect members can view them, 2nd option is Ghost Mode where no can view them. The choice that any member will choose is fully at his/her responsibility. in Ghost Mode the User will not be able to Join Events however he can view and browse on the Full App.

Socialect members and organizers must be at least 18 years old. Socialect groups and events must be only targeted to people of age 18 and above. Family groups are more than welcome on Socialect, but all children present at the event must be supervised and accompanied by an adult guardian.

We are not liable for business losses. We will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

Limitations to the app: The app is provided for general information purposes only. They do not offer financial advice or any other advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of information obtained from the app. Although we make reasonable efforts to update the information provided by the App, we make no representations, warranties or guarantees, whether explicit or implied, that such information is accurate, complete or up to date.
